Please review and accept the terms governing access to Excellium Intelligence. The agreement applies to the account holder and, where applicable, the organisation they represent.
1. Operator and access
Excellium Intelligence (the “Platform”) is a private information portal operated by Excellium Securities S.A., a Luxembourg société anonyme, R.C.S. Luxembourg B 290294, registered office 412F, route d’Esch, L-1471 Luxembourg (“Excellium”). Access is by invitation and approval only, is personal, non-transferable and may be withdrawn. An individual acting for an organisation confirms authority to bind that organisation to these Terms.
2. Purpose; no offer or advice
The Platform provides selected project descriptions, third-party documents and information-retrieval tools for preliminary research. Nothing on the Platform is an offer to sell, a solicitation of an offer to buy, an invitation to subscribe for securities, investment advice, a personal recommendation or a statement of suitability. Access creates no client, fiduciary or advisory relationship, investment entitlement or allocation. Any securities offering, if made, will be subject to separate definitive documentation, eligibility checks and applicable distribution restrictions.
3. Eligibility and territorial restrictions
The user confirms that they are an invited, authorised representative of an investor with appropriate experience and knowledge to review private-market information, that access is lawful in their jurisdiction, and that any investor classification stated to Excellium is accurate. The Platform is not available to U.S. persons as defined in Rule 902(k) of Regulation S under the U.S. Securities Act of 1933, persons accessing from the United States, or persons acting for the account or benefit of a U.S. person. The user must promptly notify Excellium if their circumstances change. Excellium may request verification and restrict access.
4. Third-party information; non-reliance
Information may originate from sponsors, developers, advisers or other third parties. It may be preliminary, incomplete, unaudited, inaccurate, outdated or subject to change. Unless expressly confirmed in separate written documentation, Excellium has not independently audited or verified it. Publication, access approval and presentation of a project do not constitute endorsement, certification or confirmation that it is investment-ready. The user is responsible for independent assessment, verification and obtaining appropriate professional advice before any decision.
5. Automated research
The Platform may use automated search, summarisation and AI-assisted retrieval. Responses, citations and summaries may contain errors or omit material context and must be checked against original documents. They are not verified findings, professional opinions or recommendations.
6. Confidentiality and permitted use
Non-public information made available through the Platform is confidential. The user may use it only to evaluate the relevant project, must safeguard it with reasonable care, and must not publish, circulate, sell, scrape, upload it to public or unauthorised AI services, or disclose it to unauthorised persons. Disclosure to professional advisers directly involved in the evaluation is permitted only where lawful, necessary and subject to equivalent confidentiality protections and any stricter sponsor restrictions. Confidentiality does not apply to information lawfully public without breach, already lawfully known, or independently developed; legally compelled disclosure is permitted subject to lawful notice where possible. These obligations continue for five years after access ends, or longer where a separate NDA or applicable law requires.
7. Project rooms and sponsor NDAs
General access to the project overview does not confer access to a detailed intelligence room. Excellium grants permissions separately for each project and may require a sponsor-specific NDA, eligibility evidence and sponsor approval. An NDA with Megawatt does not authorise access to VivoPower or any other sponsor. The relevant NDA prevails for sponsor-specific confidentiality obligations to the extent of any inconsistency.
8. Risks, interests and liability
Projects may involve material commercial, technical, financial, regulatory and execution risks. Projections and target returns are uncertain and not guaranteed. Excellium and its affiliates may have financial, structuring, placement or other commercial interests in featured projects. To the extent permitted by applicable law, the Platform is provided on an as-available basis without warranties as to completeness, accuracy or uninterrupted operation. Nothing excludes liability for fraud, wilful misconduct or any liability that cannot lawfully be excluded.
9. Accounts, records and privacy
Credentials must not be shared. Excellium may record identity, account access, the version and time of acceptance of these Terms, permissions and relevant security activity to administer and protect the Platform and demonstrate compliance. Personal data will be processed under applicable data-protection law, including the GDPR where applicable. Data-subject rights and detailed processing information will be provided through Excellium's separate privacy information.
10. Termination and governing law
Excellium may suspend or revoke Platform or project-room access for security, confidentiality, eligibility or other legitimate reasons. On termination, use of confidential materials must cease, subject to lawful retention requirements. Confidentiality, non-reliance, intellectual-property and other provisions intended to survive will continue to apply. These Terms are governed by Luxembourg law; subject to mandatory law, courts in Luxembourg City have exclusive jurisdiction. Changes requiring renewed acceptance will be presented before continued use.
