The platform is intended exclusively for authorised professional investors, institutional counterparties and professional advisers. Access is private, invitation-only, project-specific and subject to applicable confidentiality agreements and these Platform Terms.

1. Access and operator

Excellium Intelligence (the "Platform") is an invitation-only information platform operated by Excellium Securities S.A., R.C.S. Luxembourg B 290294, 412F route d'Esch, L-1471 Luxembourg ("Excellium"). Access is personal, non-transferable, revocable and limited to authorised users. An individual accepting for an organisation confirms authority to bind it.

2. Authorised use and revocation

The Platform may be used only to evaluate the specific projects for which access has been individually granted, and only by the authorised user. Credentials must not be shared, and users must not attempt to access projects, information or functions for which they are not authorised. Excellium may suspend, restrict or revoke access to the Platform or any project at any time, without notice, including where eligibility, confidentiality or these terms are in question.

3. No offer or advice

Nothing on the Platform constitutes an offer to sell or a solicitation of an offer to purchase securities, an invitation to subscribe, personalised investment advice, an investment recommendation, a statement of suitability, a client relationship or an investment allocation. Any actual securities offering or subscription will be subject to separate documentation, applicable investor eligibility requirements and jurisdictional restrictions.

4. Eligibility and jurisdictional restrictions

The user confirms that they are an authorised professional investor, institutional counterparty or professional adviser, that they have appropriate knowledge and experience, that their access is lawful in their jurisdiction, and that the information they provide is accurate. The Platform is not intended for retail investors. It is not available to U.S. persons under Regulation S Rule 902(k), persons accessing from the United States, or persons acting for the account or benefit of a U.S. person, nor to persons in any jurisdiction where access would be unlawful. Changes in eligibility must be promptly disclosed; Excellium may request verification.

5. Preliminary information, assumptions and risks

Project information, financial projections, sponsor documentation, responses to due diligence questions and AI-generated responses are provided for preliminary evaluation and discussion purposes. Materials may be supplied by third-party sponsors and may be preliminary, incomplete, unaudited, inaccurate or outdated, and certain information may be sponsor-provided or not independently verified. Unless expressly stated in separate written documentation, Excellium has not independently audited or verified it, and publication does not endorse or certify a project. Financial models rely on assumptions that may not materialise. Forecast returns are illustrative and are not guaranteed. Projects involve financial, technical, commercial, regulatory and other risks, including loss of capital.

6. AI-generated analysis

AI-assisted retrieval, answers, summaries and source citations are generated automatically from project documents. They may contain errors, omissions or misinterpretations, may not reflect the latest information, and are not independent due diligence findings, investment recommendations or professional opinions. Users must check AI output against the original documents before relying on it.

7. Due diligence questions, independent due diligence and non-reliance

Responses to due diligence questions submitted through the Platform are provided by Excellium on the basis of information available to it at the time, which may include sponsor-provided information that has not been independently verified. They are not representations, warranties or advice, may be updated or withdrawn, and do not form part of any offering documentation. Users are responsible for their own independent assessment of any project and should obtain appropriate legal, tax, financial, technical and other professional advice. No representation or warranty is given as to the accuracy, completeness or fitness of any information, and users must not rely on the Platform as the basis for any investment decision. Any reliance is solely at the user's risk, except as agreed in separate definitive documentation.

8. Confidentiality and onward disclosure

All non-public information on the Platform is confidential and may be used only to evaluate the relevant project. Users must protect it and must not copy, distribute, publish or disclose it to any other person, or upload it to public or unauthorised AI services, except to their own professional advisers who need it for that evaluation and are bound by equivalent confidentiality obligations, for whom the user remains responsible. Sponsor NDAs apply in addition and prevail where stricter. Exceptions apply to lawfully public, previously known or independently developed information and lawful compulsory disclosure. Confidentiality survives termination of access for five years, or longer where a sponsor NDA or applicable law requires.

9. Project permissions and NDAs

Access to the Platform does not confer access to any project. Each project requires separate approval by Excellium and, where applicable, a verified sponsor-specific NDA. An NDA for one sponsor does not grant access to another sponsor's materials.

10. Interests and liability

Excellium and its affiliates may have financial, structuring or other commercial interests in featured projects. Subject to mandatory law, the Platform is provided as available without a guarantee of completeness, accuracy or uninterrupted access, and Excellium is not liable for any loss arising from use of or reliance on it. Nothing excludes liability for fraud, wilful misconduct or other liability that cannot lawfully be excluded.

11. Security and privacy

Excellium records account access, agreement acceptance (including the version and time of acceptance), permissions and platform activity for administration, security and compliance. Personal data is processed under applicable law, including the GDPR where applicable, with further details in Excellium's privacy information.

12. Changes and governing law

Excellium may update these terms; material changes require renewed acceptance before further use. Confidentiality and other surviving obligations continue after termination. Luxembourg law governs these terms and, subject to mandatory rules, the courts of Luxembourg City have exclusive jurisdiction.
